  1. Delivery Terms:

    1. Delivery Schedule:

    • The supplier shall deliver the products/services in accordance with the agreed-upon delivery schedule. Any deviations from this schedule shall be communicated promptly to the buyer.

    2. Delivery Location:

    • Deliveries will be made to the location specified in the purchase order or as otherwise agreed upon in writing by both parties.

    3. Shipping Method:

    • The supplier shall choose an appropriate shipping method to ensure safe and timely delivery. The costs associated with shipping will be as per the terms specified in the agreement.

    4. Inspection upon Delivery:

    • The buyer has the right to inspect the delivered products/services promptly upon receipt. Any discrepancies or damage should be reported within [X] business days of receipt.

    5. Partial Shipments:

    • The supplier reserves the right to make partial shipments unless otherwise agreed upon. Any outstanding deliveries will be completed as soon as possible.

    6. Title and Risk of Loss:

    • Title and risk of loss or damage to the products/services shall transfer from the supplier to the buyer upon delivery, except in cases where other terms are explicitly defined in the agreement.

  2. Return Terms:

    1. Return Authorization:

    • Returns must be pre-authorized by the supplier. The buyer shall contact the supplier for a return authorization (RA) number and instructions for returning the products/services.

    2. Return Eligibility:

    • The supplier will accept returns for products/services that are damaged, defective, or do not conform to the agreed-upon specifications. Returns for other reasons may be considered at the supplier’s discretion.

    3. Return Period:

    • The buyer must initiate the return process within [X] days from the date of delivery. Returns received after this period may not be accepted.

    4. Return Condition:

    • Products/services must be returned in their original condition, including packaging and all accompanying materials. The supplier may assess a restocking fee for products returned in a condition that hinders their resale.

    5. Return Shipping:

    • The buyer is responsible for the cost of returning the products/services unless otherwise agreed upon. The supplier may provide return shipping labels or arrange for return transportation if the return is due to a supplier error.

    6. Refunds or Replacements:

    • The supplier will provide a refund, replacement, or credit for returned products/services as per the agreement and after a thorough inspection of the returned items.

    7. Dispute Resolution:

    • In the event of a dispute regarding returns, both parties agree to resolve the matter through negotiation, mediation, or arbitration, as specified in the agreement.
